Terms of Service

Welcome to Tiel. These Terms of Service ("Terms") govern your access to and use of the Tiel platform available at tiel.ai and app.tiel.ai (the "Service"), operated by Bill Yang, a sole proprietor based in Washington state, USA ("Tiel," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Tiel is a business-to-business (B2B) outbound sales automation tool. The Service allows you to connect third-party platforms — such as lead data providers, email delivery platforms, and CRM systems — to search for business contacts, enrich lead data, launch email campaigns, and sync contacts to your CRM. Tiel orchestrates your existing outbound sales stack; it does not itself send emails or own lead data.

2. Account Terms

To use the Service, you must register for an account by providing a valid email address and creating a password, or by authenticating via Google OAuth. You agree to:

  • Provide accurate and complete registration information.
  • Maintain the security of your account credentials. You are responsible for all activity under your account.
  • Notify us immediately at support@tiel.ai if you suspect unauthorized access.
  • Maintain only one account per person. Sharing account credentials is prohibited.

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent.

3. Acceptable Use

You agree to use the Service only for lawful business purposes. You must not:

  • Send unsolicited bulk email (spam) or violate the CAN-SPAM Act, GDPR, or any other applicable anti-spam or data protection law.
  • Use the Service to harass, abuse, or harm any person.
  • Scrape, crawl, or use automated means to extract data from the Tiel platform itself.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Use the Service for any purpose that is illegal or prohibited by these Terms.
  • Resell, sublicense, or redistribute the Service without our written consent.

You are solely responsible for ensuring that your outbound email campaigns comply with all applicable laws, including CAN-SPAM, GDPR, and CASL. Tiel provides the tooling; compliance is your responsibility.

4. API Credentials and Third-Party Services

The Service requires you to connect your own accounts with third-party services (Apollo.io, Instantly.ai, HubSpot, etc.) by providing API keys or authorizing OAuth access. You understand and agree that:

  • You are responsible for maintaining valid API credentials and complying with each third-party service's terms of use.
  • We encrypt your API credentials at rest using industry-standard encryption methods, but we do not guarantee the availability, accuracy, or uptime of any third-party service.
  • Tiel is not liable for any actions taken by third-party services, including account suspensions, rate limiting, or data loss on those platforms.
  • You must not provide credentials that you are not authorized to use.

5. Intellectual Property

Our property: The Tiel platform, including its software, design, trademarks, and documentation, is owned by Tiel and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology.

Your property: You retain all rights to the data you provide to or generate through the Service, including lead data, campaign configurations, and account information. We claim no ownership over your data.

6. Data and Leads

You own your lead data. Tiel processes lead information (names, business emails, job titles, companies, and engagement metrics) on your behalf to provide the Service. We act as a data processor; you are the data controller. We will not sell, share, or use your lead data for any purpose other than providing the Service to you.

7. Free Trial

We offer a free 14-day pilot period for new accounts. During the pilot, you will have access to the full functionality of the Service. At the end of the pilot period, you must subscribe to a paid plan to continue using the Service.

We reserve the right to modify, limit, or discontinue the free trial at any time without prior notice.

8. Payment Terms

After the free trial, the Service is available on a monthly subscription basis. Payment is processed through our third-party payment provider. By subscribing, you agree to:

  • Pay the applicable subscription fees on time.
  • Provide accurate and current billing information.
  • Authorize recurring charges to your payment method.

Subscription fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

If a payment fails, we will attempt to charge your payment method again and notify you. If payment remains outstanding for 14 days, we may suspend your account until the balance is resolved.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until your current billing period expires.

9. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

To the maximum extent permitted by law:

  • Tiel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the total fees you paid to Tiel in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, the limitations above apply to the fullest extent permitted by applicable law.

Force Majeure

Tiel shall not be liable for any failure or delay in performing obligations under these Terms caused by events beyond our reasonable control, including but not limited to: natural disasters, power outages, internet or telecommunications failures, government actions, third-party service outages or API changes (including Apollo.io, Instantly.ai, HubSpot, or AWS), cyberattacks, or pandemics.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tiel and its owner from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service or violation of these Terms.
  • Your email campaigns, outreach activities, or any content you send through connected services.
  • Your violation of any applicable law, including CAN-SPAM, GDPR, or CASL.
  • Any claim by a third party related to your use of their API credentials through the Service.

11. Termination

By you: You may terminate your account at any time by contacting us at support@tiel.ai or through your account settings.

By us: We may suspend or terminate your account if you violate these Terms, engage in abusive or fraudulent activity, or fail to pay subscription fees. We will make reasonable efforts to notify you before termination, except in cases of serious violations.

After termination: Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow you to request an export. After 30 days, your data will be permanently deleted. Contact support@tiel.ai to request a data export.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, USA, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Washington state, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at the address associated with your account and update the "Last updated" date at the top of this page. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tiel regarding the Service, and supersede all prior agreements, understandings, and communications, whether written or oral.

16. Assignment

Tiel may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets, without your consent. You may not assign or transfer these Terms or any rights hereunder without our prior written consent.

17. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it at a later time.
